The course will explain the importance of corporate governance in promoting the sustainability, credibility and competitiveness of MSMEs. Financial Reporting Council (FRC) and Corporate Governance Guidelines for SMEs (2024) as a frameworks for strategic oversight within an organization will be introduced and explained. The course will also identify key objectives of corporate governance, as well as examine some governance challenges commonly faced by businesses. The course will further address the legal responsibilities of directors under the Companies and Allied Matters Act (CAMA) 2020 and look at the separation of the positions of Chairman and Chief Executive Officer as a means of strengthening accountability, oversight and effective decision-making.
